What clients call about
This is how the conversations I have most often begin.
Companies
- “A counterparty has sent us a demand to pay a contractual penalty and we don’t know what to do with it next.”
- “We’ve been served with a claim, we really didn’t see it coming. What do we do now?”
- “We need a legal opinion for our platform: whether we are providing payment services.”
- “UOKiK, the consumer protection authority, has written to us asking about our refund procedures and for explanations of our terms.”
- “Does our use of AI require additional procedures and labelling of materials, written ones included?”
- “A counterparty has sent us its own template agreement for supplying cosmetics under its logo and we are to sign it by the end of the week.”
- “We want to license our trade mark to a partner abroad and we don’t know how to protect ourselves.”
- “We are selling shares in our company and the buyer has sent a list of questions we don’t know what to do with.”
- “We want to set up a company and move into it the business we run as a civil law partnership, but we don’t know where to start.”
- “We have to dismiss an employee summarily and want to know how to do it in line with the law.”
Private clients
- “I need an opinion on my B2B contract: whether it could be turned into an employment contract.”
- “My employer dismissed me summarily, and I had to go for medical rehabilitation.”
- “A public authority has written to me and I have 7 days to reply. Can I count on your help?”
- “My sole trader business has a contract with a US company. Can the labour inspectorate audit my contract?”
- “My father has died and his will leaves everything to my brother. Am I entitled to anything?”
- “I have several bank loans and payday loans, I can no longer keep up with the repayments and a bailiff has seized my salary.”
- “I took out a cash loan and I have the feeling the bank charged more than it should have.”
Selected matters
Matters from recent years, described without client names. Professional secrecy applies.
- A dispute over shares bought in a company listed on the Warsaw Stock Exchange, ending with a contractual penalty enforced. A transaction with a put option over the acquired shares, secured by a contractual penalty, a mortgage and voluntary submission to enforcement. Years of litigation through two instances and enforcement by a court bailiff at the end.
- A dispute over a production line, decided by the Supreme Court. A cutting line for a specialised board used in furniture and construction, many expert opinions, an appeal and a cassation complaint. I ran the case from the first instance to the end.
- The choice of a deferred payment provider for a large online platform. Negotiation of the agreement with the payment services provider and the regulatory requirements on the client side, followed by supervision over the implementation.
- Privatisation of a large production plant, from due diligence to financing. Legal work on the transaction with the State Treasury and supervision over its performance, then restructuring and financing of the business.
- Negotiation of an implementation agreement for a production line at an industrial plant. Scope, acceptance schedule, contractual penalties and the terms of exit from the agreement on the supplier’s side.
- A trade mark licence agreement for a Polish machinery distributor. How the fee is calculated, restrictions on use and the terms of termination.
- Sale of shares in a services company. Legal due diligence before the transaction, negotiation of the agreement and the seller’s representations, and settlement of the price.
- A court dispute over the termination of an employment contract with a senior manager. A case run before the employment court through to a final judgment.
For companies
I advise technology, manufacturing and services companies, from checking whether a platform complies with the rules, through contracts and negotiations, to disputes before courts and authorities.
Technology and regulation
I check whether online platforms and digital services comply with the applicable rules, and I represent companies before the Polish competition, data protection and financial supervision authorities.
Contracts and day to day legal work
I draft and negotiate contracts, from single orders to framework agreements and the sale of shares, assets and machinery.
Disputes and proceedings
I run commercial disputes before the Polish courts, from simple payment claims to disputes over technology implementations. I appear in court myself.
What I deliver depends on the engagement: an analysis and a recommendation, a legal opinion, a draft contract or another document, or the negotiation of a contract.
Most engagements are quoted individually. A quote usually goes out within one business day.
For private clients
I represent private clients before courts and public authorities, in matters large and small. I run them myself, in Warsaw and remotely, across Poland.
I handle, among others, the following matters:
Employment law, on the employee side
Notice, summary dismissal, severance pay, unpaid salary. The deadline to appeal against a notice is 21 days.
B2B contracts and sole traders
A B2B contract against an employment relationship, labour inspection audits, contracts with foreign companies.
Succession and reserved share
Being left out of a will, an estate with debts, division of an estate. A reserved share claim expires five years after the will is announced.
Consumer bankruptcy
When debts have outgrown any realistic repayment. Enforcement is suspended once bankruptcy is declared.
Free credit sanction
If a consumer credit agreement breaches the statute, you repay the capital only, with no interest and no commission.
If your matter is not on the list, call or write. I will tell you whether I can take it.
The first conversation is free of charge, usually online, a phone call also works. A consultation with a review of documents starts at PLN 300 gross.
Amounts are indicative and do not constitute an offer within the meaning of the Polish Civil Code.
